Xtrusion Overland Dealer Program
Thank you so much for your interest in becoming a dealer for Xtrusion Overland. Due to the high volume of applications and interest we receive from potential dealers, we make every effort to review each application in an effort to be sure that the business relationships that we engage in are mutually beneficial for both sides.
We very much want you to succeed and will be there to help with any questions you or your customers may have. We know it can be a lot to take in, but once you understand our system of brackets, and how they interact with our bars, you’ll be up to speed in no time.
Below is a list of minimum requirements needed to apply. Please also review our Dealer Tier summery to see which best fits your needs.

Minimum Requirements
The dealer agreement is good for a term of 1 year with an auto-renewal each year, unless determined otherwise by one of the parties involved. If any changes to the agreed upon policies are made in the future, Xtrusion Overland will notify the dealer in writing via email.
No change or modification of this agreement shall be valid or binding unless the change or modification is in writing and signed by the parties. Notwithstanding the preceding sentence, Xtrusion Overland may amend this agreement to the extent permitted by the agreement.
Dealer Tier Summary
Tier 1
· 10% discount code good for all rack orders made through the Xtrusion Overland website.
· All orders are drop shipped from Xtrusion Overland
· Xtrusion Overland will process the orders in-house to the customers requested spec.
· Processing is handled through the standard queue.
· Shipping will be calculated based on weight. Continental US and Canada only.
Tier 2
· 20% discount on pre-selected XTR racks.
· 20% discount on Single SKU rack accessories. (Molle Plates, Hi-Lift mounts, RTT brackets, etc.)
· $5K minimum buy in. This provides enough bars and hardware for 5 kits at any height. (Once stock is fulfilled)
· Xtrusion Overland will process the orders in-house and through the preferred queue. (1 week) Bypassing the standard lead times.
· Rack at cost for your shop rig.
· We will send you marketing materials. Banners, flyers, etc.
Tier 3
· 30% discount on pre-selected XTR racks.
· 20% discount on Single SKU rack accessories. (Molle Plates, Hi-Lift mounts, RTT brackets, etc.)
· Same benefits as Tier 2
· $10K Minimum buy in.
· To maintain this tier, you need to generate $50K in sales per year.
· Flat rate shipping if we hold your stock.
· Bulk shipping through LTL if the Dealer chooses to stock in their warehouse.
· Best choice for specialized install shops. Pre-selected rack kits can be a stocked item for you to have on hand.
· $1000 credit towards a rack for a shop rig (at cost).
Terms and Conditions
Minimum Requirements for Tier 1 Dealers
● New Tier 1 Dealers are required to place a minimum order upon their notification of dealer approval. Minimum order needs to be $1500. You can purchase whatever you’d like within our XTR/Xbrs product line.
● To remain a Xtrusion Overland dealer, each Tier 1 dealer must purchase an accumulative total of at least $3000 of our XTR/Xbrs products by their 1st anniversary date, and every 12 months thereafter.
Minimum Requirements for Tier 2 & 3 Dealers
● New Tier 2 &3 Dealers are required to place a minimum order upon their notification of dealer approval. When placing their initial order, Xtrusion Overland requires a minimum purchase of $5,000 (tier2) and $10,000 (tier 3) of our XTR/Xbrs products.
● To remain a Xtrusion Overland dealer, each dealer must purchase an accumulative total of at least $5,000 (tier2) and $10,000 (tier 3) of our XTR/Xbrs product by their 1st anniversary date, and every 12 months thereafter.
● Tier 2 & 3 Dealers must have an agreed upon listing of our XTR/Xbrs products published on Dealer’s website with current pricing reflected.
● An existing dealer website, as well as a social media presence.
Discount Policies
-Dealer discount only applies to XTR/Xbrs products and XTR/Xbrs rack accessories manufactured by Xtrusion Overland. Dealer discounts do not apply to 3rd party products.
-Tier 2 &3 Dealer discount is 20% off XTR/Xbrs racks and 20% Xtrusion Overland rack accessories (Tier 2) & 30% off XTR/Xbrs racks and 20% Xtrusion Overland rack accessories (Tier 3) Minimum Advertised Price (MAP).
Pricing Policies
Dealer sales transactions with the End User must adhere to MAP as specified by Xtrusion Overland. Dealers can determine current MAP from pricing published on Xtrusion Overland’s website (www.xtrusion-overland.com) for each product model. Please reach out to us at [email protected] for questions on pricing.
Each Dealer is responsible to keep pricing up to date on Dealer’s published materials (i.e. Dealer website, retail Brick and Mortar) Xtrusion Overland will send out pricing sheets in the event of pricing or configuration changes. We currently us Shopify as our e-commerce storefront.
Payment Policies
All dropship orders will be processed, and payment made through the Xtrusion Overland website.
Bulk order will ship after payment is received and materials are secured, unless prior arrangements are made. Bulk orders are considered any item or items that may require the use of a pallet for shipment. ie: Tier 3 Dealers.
When submitting bulk orders, the Tier 3 Dealer is responsible for confirming product compatibility and order accuracy. Xtrusion Overland’s ordering system will automatically email notifications to the Dealer about order processing and fulfillment (i.e. draft order invoice, order confirmation, shipping status, etc).
If LTL Shipping is required, it’s the Tier 3 Dealers responsibility to arrange the carrier once Xtrusion Overland has confirmed the order is ready for pickup.
Order Placement & Shipping Policies
Drop ship orders will be placed on the Xtrusion Overland website. Tier 1 & 2 Dealers will be given a unique discount code and asked to sign into the website for ordering. The discount code will be specific to the user profile. The Unique discount code will be entered at checkout. The Discount code is for dealer use only and is not for customer access.
Bulk orders will use a Direct Invoice and go directly through our dealer email.

Return and Exchange Policies
If an end user receives an order that contains incorrect products or has been damaged in transit, documentation and photos are required for Xtrusion Overland to determine appropriate recourse. If found at fault, Xtrusion Overland will remedy the error in good faith (i.e. refund or replace, arrange return shipping, etc.).
If the end user is dissatisfied with the product once the order is received, the end user is solely responsible for return shipping costs. Products must be returned in original packaging and adequately protected for carrier handling. Returned product will be inspected for damage or evidence that it was installed or used.
Upon return, Xtrusion Overland, at its sole discretion, will assess product conditions for resale. A restocking fee of up to 20% may be deducted from the amount refunded back to the Dealer. If product is not resalable, Dealer is responsible for the original sales price.
Once an order is placed, if that order is canceled within its predicted production timetable the Dealer will be
charged a 20% restocking fee.
No refunds or exchanges will be allowed after 30 days of receipt of the product(s).
Warranty Policies
Dealers purchases & End User sales are eligible for warranty coverage, provided Dealer or End User shows valid proof of purchase.
Dealer must forward all End User complaints or concerns as it pertains to product defects or required maintenance.
All warranty issues will be resolved directly by Xtrusion Overland & End User, where it applies. Xtrusion Overland will communicate directly with End User to review defects and extend appropriate remedies as warranted. Non warranty complaints or issues are to be handled initially by the dealer.
Trademarks & Intellectual Property Policies
Dealers will not reproduce, reverse engineer or duplicate any Company Products manufactured by Xtrusion Overland.
Dealers will not use any of Xtrusion Overland’s products for the purpose of redesign for an alternative or substitute product.
Dealers will not engage in any practice that would involve compromising Xtrusion Overland’s market share or customer base due to redistribution, redesign or re-engineering of Xtrusion Overland products as Xtrusion Overland products are subject to trademarks and patents.
Dealer agrees to not talk to, re-distribute or provide any knowledge whatsoever to competitors, companies and individuals within or outside of the manufacturing industry. All Xtrusion Overland products should be held as trade secrets and the Dealer is accountable and punishable by law for any act of misappropriation.
All manufactured products shall be advertised, marketed and sold by Dealer only under the Trademark and the company logos of Xtrusion Overland. The Trademark must appear on all promotional materials (digital and print) in a form and manner to be agreed by both Parties, but in all events shall be prominently displayed.
Acknowledgement
● I legally represent a business entity operating in accordance with local laws within my community, state
and/or country.
● I have honestly and accurately completed this application to the best of my ability.
● I have read this contract in its entirety and agree to all the policies outlined in this agreement.
● I acknowledge that Xtrusion Overland has the right to revoke this agreement at any time and for any reason without notice.
